ProfitPixel is operated by ClosrTech LLC

1. Acceptance of Terms

By accessing, browsing, or using the ProfitPixel platform, website, application programming interfaces ("APIs"), pixel scripts, dashboards, documentation, or any related services (collectively, the "Service"), you ("Affiliate," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms," "Agreement"). If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" and "your" shall refer to such entity.

If you do not agree to these Terms, you must immediately cease all use of the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

These Terms constitute a legally binding agreement between you and ClosrTech LLC, a Florida limited liability company doing business as ProfitPixel ("ProfitPixel," "we," "us," or "our").

2. Description of Service

ProfitPixel is a lead monetization platform that enables affiliates to generate additional revenue from their existing web properties. The Service includes, but is not limited to:

  • Pixel Script: A JavaScript snippet that affiliates embed on their websites to display post-submit offers to consumers who have completed a form submission on the affiliate's site.
  • Offer Marketplace: A curated selection of advertiser offers that are dynamically matched to consumers based on submitted form data, geographic location, and other relevant criteria.
  • Webhooks: Real-time data delivery mechanisms that transmit lead information to offer buyers upon consumer acceptance of a presented offer.
  • Analytics Dashboard: Reporting tools that provide affiliates with visibility into page views, form starts, form submissions, form abandons, offer impressions, conversions, and revenue metrics.
  • Form Tracking: Technology that monitors and records consumer interactions with affiliate forms, including form field engagement, completion rates, and submission events.
  • Affiliate Portal: A self-service interface for managing account settings, viewing available offers, generating pixel code, and accessing performance reports.
  • API Access: Programmatic interfaces for lead submission, offer retrieval, and data export.

ProfitPixel reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you or any third party.

3. Account Registration

To access the Service, you must create an affiliate account by providing accurate, current, and complete information as requested during the registration process. You agree to:

  • Provide truthful and accurate registration information, including your legal name (or entity name), email address, mailing address, phone number, tax identification number, and website URL(s).
  • Promptly update your account information to maintain its accuracy and completeness.
  • Maintain the confidentiality and security of your account credentials, including your password, API keys, and pixel identifiers.
  • Accept sole responsibility for all activities that occur under your account, whether or not you have authorized such activities.
  • Immediately notify ProfitPixel of any unauthorized use of your account or any other breach of security at info@profitpixel.ai.

ProfitPixel reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, without prior notice or liability, for any reason, including but not limited to suspected fraud, provision of inaccurate information, or violation of these Terms.

You may not assign, transfer, or sublicense your account or any rights hereunder to any third party without ProfitPixel's prior written consent.

4. Affiliate Obligations

As an affiliate using the Service, you represent, warrant, and covenant that:

  • Legal Authority: You have the legal right, authority, and all necessary permissions to place the ProfitPixel script on any website or web property on which it is deployed. You own or have lawful authorization to operate each website on which the pixel is installed.
  • TCPA-Compliant Consent Language: All forms on your websites that collect consumer personal information and are integrated with ProfitPixel include clear, conspicuous, and legally compliant consent language that meets or exceeds the requirements of the Telephone Consumer Protection Act ("TCPA"), the FCC's implementing regulations, and all applicable state and federal telemarketing laws. This consent language must, at a minimum, inform the consumer that by submitting the form, they consent to receive calls, text messages, and emails from third-party companies regarding the products or services they have inquired about, and that such consent is not a condition of purchase.
  • Lawful Websites: You will not install the ProfitPixel script on any website that contains, promotes, or facilitates illegal activities, fraudulent schemes, deceptive trade practices, pornographic content, hate speech, violence, or any content that violates applicable law or regulation.
  • Genuine Lead Generation: You will not, directly or indirectly, generate, submit, or cause to be submitted any fake, fabricated, fraudulent, incentivized, or artificially generated leads through the Service. All consumer data submitted through the pixel must originate from genuine consumer interactions with your website forms.
  • Compliance with Laws: You will comply with all applicable federal, state, local, and international laws, regulations, and industry standards in connection with your use of the Service, including but not limited to the TCPA, CAN-SPAM Act, CCPA, GDPR, FTC Act, and state consumer protection statutes.
  • Privacy Policy: Each website on which the ProfitPixel script is deployed must maintain a conspicuously posted, accurate, and legally compliant privacy policy that discloses, at minimum, the collection and sharing of consumer data with third-party partners, the use of tracking technologies, and the consumer's rights regarding their personal information.
  • Accurate Traffic Sources: You will accurately represent and disclose your traffic sources upon request by ProfitPixel. Misrepresentation of traffic sources is grounds for immediate termination and forfeiture of unpaid earnings.

5. Data Collection & Processing

The ProfitPixel script and related technologies collect the following categories of information from consumers who interact with affiliate websites:

  • Form Data: Personal information submitted by consumers through affiliate forms, which may include names, email addresses, phone numbers, physical addresses, dates of birth, and other data fields as configured by the affiliate.
  • Technical Data: IP addresses, user agent strings, browser type and version, operating system, device type, screen resolution, and referring URLs.
  • Behavioral Data: Page view events, form interaction events (starts, field engagement, submissions, abandons), offer impression events, and conversion events.
  • Session Data: Session identifiers, timestamps, page URLs, and navigation paths stored in browser sessionStorage.

Affiliate Responsibility: You, as the affiliate, are solely responsible for your own data collection practices on your websites. You are the data controller with respect to consumer data collected through your forms. You are responsible for providing adequate notice to consumers about your data collection practices, obtaining all necessary consents, and maintaining a legally compliant privacy policy. ProfitPixel processes consumer data on your behalf and on behalf of offer buyers, and is not responsible for your compliance or non-compliance with applicable data protection laws.

No Guarantee of Legality: ProfitPixel does not review, audit, or guarantee the legality or adequacy of any affiliate's data collection practices, consent mechanisms, or privacy policies. Any sample language, templates, or guidance provided by ProfitPixel is for informational purposes only and does not constitute legal advice.

6. Revenue & Payments

ProfitPixel compensates affiliates under a revenue share model subject to the following terms:

  • Revenue Share: Affiliates earn a percentage of the gross revenue generated from consumer conversions attributable to the affiliate's pixel. The applicable revenue share percentage is set at ProfitPixel's sole discretion and is disclosed to the affiliate upon offer acceptance. ProfitPixel reserves the right to adjust revenue share percentages at any time with thirty (30) days' written notice.
  • Payout Rates: ProfitPixel determines all payout rates, offer pricing, and revenue calculations in its sole discretion. Revenue attribution, deduplication, and quality scoring methodologies are proprietary and are not subject to affiliate review or challenge.
  • Payment Schedule: Payments are issued on a monthly basis, net thirty (30) days following the end of each calendar month. Payments are only issued for account balances that meet or exceed One Hundred Dollars ($100.00). Balances below this threshold carry forward to the following month.
  • Payment Methods: Payments are made via ACH bank transfer, wire transfer, or such other methods as ProfitPixel may offer from time to time. Affiliates are responsible for providing accurate payment information and for any fees charged by their financial institution.
  • Tax Obligations: Affiliates are solely responsible for all taxes, duties, and levies arising from payments received under this Agreement. ProfitPixel may require affiliates to provide a completed W-9 (or W-8BEN for non-U.S. affiliates) prior to issuing any payment. ProfitPixel will issue IRS Form 1099-NEC or other applicable tax documents as required by law.
  • Fraud Withholding: ProfitPixel reserves the right to withhold, suspend, offset, or claw back any payments if ProfitPixel reasonably suspects or determines, in its sole discretion, that the affiliate has engaged in fraudulent activity, generated artificial or invalid traffic, violated these Terms, or that any leads attributed to the affiliate are of insufficient quality, duplicative, or non-compliant. Withheld amounts may be retained indefinitely pending investigation and resolution.
  • Chargebacks & Reversals: If an offer buyer reverses, disputes, or charges back any payment associated with a lead attributed to the affiliate, ProfitPixel may deduct the corresponding affiliate earnings from future payments or outstanding balances.

7. Intellectual Property

ProfitPixel Property: All right, title, and interest in and to the Service, including but not limited to the platform software, source code, object code, pixel scripts, APIs, algorithms, data models, machine learning models, user interfaces, documentation, trademarks, service marks, trade names, logos, domain names, and all related intellectual property rights (collectively, "ProfitPixel IP") are and shall remain the exclusive property of ClosrTech LLC and its licensors. Nothing in this Agreement grants you any right, title, or interest in or to any ProfitPixel IP, except for the limited, non-exclusive, non-transferable, revocable license to use the Service as expressly set forth herein.

Affiliate Property: You retain all right, title, and interest in and to your websites, web properties, content, trademarks, and other intellectual property that you own or license independently of this Agreement ("Affiliate IP"). Nothing in this Agreement transfers any Affiliate IP to ProfitPixel.

Data License: By using the Service, you grant ProfitPixel a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, process, store, transmit, aggregate, anonymize, and analyze lead data and performance data generated through your use of the Service for the purposes of operating, improving, and optimizing the Service, generating aggregate analytics and benchmarks, and fulfilling obligations to offer buyers. This license survives termination of this Agreement.

Feedback: Any suggestions, ideas, enhancement requests, recommendations, or other feedback you provide regarding the Service ("Feedback") shall be the exclusive property of ProfitPixel. You hereby irrevocably assign all right, title, and interest in such Feedback to ProfitPixel.

8. Prohibited Conduct

You agree that you will not, and will not permit any third party to, engage in any of the following activities in connection with the Service:

  • Generate, submit, or facilitate the submission of fraudulent, fabricated, incentivized, or artificially generated leads, traffic, impressions, clicks, or conversions.
  • Use bots, scripts, automated tools, click farms, data entry services, or any other non-human or deceptive means to interact with the Service or generate activity.
  • Scrape, crawl, spider, harvest, or extract data from the Service, including but not limited to offer details, payout rates, buyer information, or platform analytics.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data structures, or underlying technology of the Service or any component thereof.
  • Interfere with, disrupt, or impose an unreasonable load on the Service, its servers, networks, or infrastructure, including through denial-of-service attacks, injection attacks, or exploitation of vulnerabilities.
  • Violate the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the CCPA, the GDPR, the FTC Act, or any other applicable federal, state, local, or international law, regulation, or industry standard.
  • Generate artificial, incentivized, or non-genuine traffic to your websites for the purpose of inflating ProfitPixel metrics or revenue.
  • Circumvent, disable, or interfere with any security, fraud detection, deduplication, or quality control mechanisms employed by the Service.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Service to collect, store, or process data from minors under the age of thirteen (13), or under the age of sixteen (16) in jurisdictions where a higher age of consent applies.
  • Sublicense, resell, rent, lease, or otherwise make the Service available to any unauthorized third party without ProfitPixel's prior written consent.
  • Modify, create derivative works from, or embed the pixel script within any other tracking or advertising technology without prior written authorization from ProfitPixel.

Violation of any of the foregoing prohibitions constitutes a material breach of this Agreement and may result in immediate termination of your account, forfeiture of all unpaid earnings, and pursuit of any and all legal remedies available to ProfitPixel, including injunctive relief and monetary damages.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROFITPIXEL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "PROFITPIXEL PARTIES") EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, DATA, OR INFORMATION PROVIDED THROUGH THE SERVICE.
  • ANY WARRANTY THAT THE SERVICE WILL GENERATE ANY PARTICULAR LEVEL OF REVENUE, TRAFFIC, LEADS, OR CONVERSIONS FOR THE AFFILIATE.
  • ANY WARRANTY REGARDING THE QUALITY, VALIDITY, OR DELIVERABILITY OF LEADS PROCESSED THROUGH THE SERVICE.
  • ANY WARRANTY REGARDING THE SOLVENCY, RELIABILITY, OR PERFORMANCE OF ANY OFFER BUYER OR THIRD PARTY.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM PROFITPIXEL OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PROFITPIXEL PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS;
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;
  • DAMAGES ARISING FROM OR RELATED TO ANY INTERRUPTION, DELAY, OR FAILURE OF THE SERVICE;
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PROFITPIXEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE PROFITPIXEL PARTIES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE EXCEED THE TOTAL FEES PAID BY PROFITPIXEL TO YOU DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY EVEN IF ANY LIMITED REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, THE LIABILITY OF THE PROFITPIXEL PARTIES SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless ProfitPixel and the ProfitPixel Parties from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use of the Service or any activity under your account.
  • Your websites, web properties, content, products, or services.
  • Your data collection practices, privacy policies, consent mechanisms, or lack thereof.
  • Your violation of these Terms or any applicable law, regulation, or third-party right.
  • Any claim by a consumer, regulatory authority, or third party arising from or related to data collected through your websites or transmitted through the Service.
  • Any TCPA, CAN-SPAM, CCPA, GDPR, or other regulatory claims, fines, penalties, or enforcement actions arising from your data collection, marketing, or communication practices.
  • Any dispute between you and an offer buyer, consumer, or any other third party.
  • Any intellectual property infringement claim related to your websites or content.

ProfitPixel shall provide you with prompt written notice of any such claim and shall cooperate with you, at your expense, in the defense of such claim. ProfitPixel reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree not to settle any such matter without ProfitPixel's prior written consent.

12. TCPA Compliance

Affiliate Sole Responsibility: You are solely and exclusively responsible for ensuring that all forms, lead generation activities, and consumer communications on your websites comply with the Telephone Consumer Protection Act of 1991 ("TCPA"), as amended, the FCC's implementing regulations (47 C.F.R. Part 64), the Telemarketing Sales Rule (16 C.F.R. Part 310), and all applicable state telemarketing and consumer protection laws (collectively, "Telemarketing Laws").

Prior Express Written Consent: You acknowledge that the transfer of consumer data to offer buyers through the Service may result in the consumer receiving telephone calls, including calls made using an automatic telephone dialing system or prerecorded/artificial voice, and text messages. You are responsible for obtaining prior express written consent from each consumer, in compliance with 47 C.F.R. § 64.1200(a)(2) and (a)(3), before such consumer's data is submitted through the Service.

Consent Language: ProfitPixel may, from time to time, provide recommended consent language or templates for use on affiliate forms. Any such language is provided for informational purposes only, does not constitute legal advice, and does not guarantee compliance with any Telemarketing Law. You are solely responsible for consulting with your own legal counsel to ensure that your consent language meets all applicable legal requirements, including the FCC's one-to-one consent rule, clear and conspicuous disclosure requirements, and applicable state-specific requirements.

TCPA Indemnification: Without limiting the generality of Section 11, you specifically agree to indemnify, defend, and hold harmless ProfitPixel and the ProfitPixel Parties from and against any and all claims, demands, class actions, regulatory proceedings, fines, penalties, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to any actual or alleged violation of any Telemarketing Law by you, your agents, or anyone acting on your behalf, including but not limited to claims related to the adequacy of consent obtained, the content or placement of consent disclosures, calls or messages made to consumers whose data was submitted through the Service, and Do Not Call violations.

TrustedForm: ProfitPixel may utilize TrustedForm certificates or similar consent verification technologies. The use of such technologies does not guarantee TCPA compliance and does not relieve you of your independent obligation to obtain and document valid consumer consent.

13. Data Protection

Roles and Responsibilities: With respect to consumer personal data collected through affiliate forms and processed through the Service, the parties agree that:

  • The Affiliate is the "data controller" (as defined under the GDPR) or "business" (as defined under the CCPA) responsible for determining the purposes and means of data collection on their websites.
  • ProfitPixel acts as a "data processor" (as defined under the GDPR) or "service provider" (as defined under the CCPA), processing consumer data on behalf of the affiliate and offer buyers for the purposes described in these Terms.

Affiliate Obligations: As the data controller, you shall: (a) ensure that all data collection on your websites is lawful and supported by a valid legal basis under applicable data protection law; (b) provide adequate notice to consumers regarding the processing of their data; (c) obtain all necessary consents as required by applicable law; (d) respond to consumer data subject requests in a timely manner; and (e) maintain records of processing activities as required by applicable law.

ProfitPixel Obligations: As a data processor, ProfitPixel shall: (a) process consumer data only for the purposes described in these Terms and the Privacy Policy; (b) implement appropriate technical and organizational security measures; (c) assist the affiliate in responding to consumer data subject requests to the extent commercially reasonable; and (d) notify the affiliate without undue delay upon becoming aware of a personal data breach affecting data processed under this Agreement.

Sub-processors: The affiliate acknowledges and consents to ProfitPixel's use of third-party sub-processors, including but not limited to cloud hosting providers, fraud detection services (e.g., IPQS), payment processors (e.g., Stripe), and consent verification services (e.g., TrustedForm), for the purposes of providing the Service.

Data Processing Agreement: Upon request, ProfitPixel will enter into a Data Processing Agreement ("DPA") with the affiliate that supplements these Terms and satisfies the requirements of Article 28 of the GDPR or equivalent provisions under other applicable data protection laws.

14. Termination

Termination by Either Party: Either party may terminate this Agreement at any time, for any reason or no reason, by providing thirty (30) days' prior written notice to the other party. Notice shall be delivered by email to the email address on file for the affiliate or to info@profitpixel.ai for ProfitPixel.

Immediate Termination by ProfitPixel: ProfitPixel may terminate this Agreement and suspend or deactivate your account immediately, without prior notice, if ProfitPixel determines, in its sole discretion, that you have: (a) violated any provision of these Terms; (b) engaged in fraudulent, deceptive, or illegal activity; (c) submitted invalid, fabricated, or artificially generated leads; (d) violated any Telemarketing Law; (e) failed to maintain a legally compliant privacy policy or consent mechanism; (f) caused or threatened harm to ProfitPixel, its platform, its buyers, or any third party; or (g) become the subject of any bankruptcy, insolvency, or similar proceeding.

Effect of Termination: Upon termination: (a) your license to use the Service and all associated rights shall immediately cease; (b) you must immediately remove the ProfitPixel pixel script from all websites; (c) ProfitPixel will pay any undisputed, earned, and non-fraudulent balance exceeding the minimum payout threshold within sixty (60) days of the effective termination date; (d) ProfitPixel may withhold any amounts that are subject to dispute, investigation, or clawback; and (e) all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 9, 10, 11, 12, 13, 16, and this Section 14.

15. Modifications to Terms

ProfitPixel reserves the right to modify, amend, or update these Terms at any time. ProfitPixel will provide at least thirty (30) days' notice of material changes by posting the updated Terms on the ProfitPixel website and/or by sending notice to the email address associated with your account. The "Last Updated" date at the top of these Terms will be revised to reflect the date of the most recent modification.

Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole and exclusive remedy is to terminate your account and cease using the Service prior to the effective date of the changes.

16. Governing Law & Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Palm Beach County, Florida. The language of the arbitration shall be English.

Class Action Waiver: YOU AND PROFITPIXEL AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate more than one party's claims and may not otherwise preside over any form of class or representative proceeding.

Injunctive Relief: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or to enforce the provisions of Section 8 (Prohibited Conduct).

Small Claims: Either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.

17. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties. If such modification is not possible, the provision shall be severed from this Agreement. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of this Agreement, which shall continue in full force and effect.

18. Entire Agreement

This Agreement, together with the Privacy Policy, any Data Processing Agreement, and any other policies or guidelines incorporated by reference herein, constitutes the entire agreement between you and ProfitPixel with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. No waiver of any provision of this Agreement shall be effective unless made in writing and signed by the waiving party. A waiver of any provision on one occasion shall not be deemed a waiver of the same or any other provision on any other occasion.
